Business attorneys often confront important ethical issues. In a transaction involving a closely held company, business attorneys are often expected to represent both the company and its owners. Similarly, business partners frequently do not want to incur extra legal expenses by hiring multiple attorneys, one to represent each partner, preferring for one attorney to represent everyone even when the partners’ interests likely diverge. Negotiating for clients in business deals also interposes major ethical issues in what would otherwise be a commercial negotiation. This program will provide business attorneys with a practical guide to major ethical issues including resolving conflict issues in joint representations, dealing with clients that are dishonest, and transactional negotiation ethics.
